Ether Machine scraps SPAC merger with Dynamix, citing market conditions

Ether Machine just pulled the plug on its Nasdaq debut. The Ethereum treasury firm and Dynamix Corp mutually terminated their SPAC merger, blaming 'unfavorable market conditions.' The deal's dead — effective immediately.

In an X post, Ether Machine confirmed the mutual decision. The merger aimed to take the firm public on Nasdaq under ticker 'ETHM,' with involvement from The Ether Reserve LLC.

SEC filing drop: An unnamed 'Payor' (listed in Annex A but kept secret) must cough up $50 million to Dynamix within 15 days of termination. That's the breakup fee.

Ether Machine's grand plan? Launch the largest yield-bearing ETH fund for institutions. Announced in July last year, co-founded by ex-Consensys execs Andrew Keys and David Merin. Target: list on Nasdaq with over 400,000 ETH under management — worth ~$1.5B at the time.

In September, they secured $654M in private funding, including 150,000 ETH from Ethereum advocate Jeffrey Berns (who joined the board). That raise was building toward the Nasdaq debut — now canceled.

Dynamix isn't totally screwed — they have until Nov. 22, 2026, to find another business combo. Fail that, and they liquidate, returning trust funds to shareholders per their charter.

Ether funds are bailing hard. Trend Research fully unwound its Ethereum position, selling 651,757 ETH (~$1.34B) and locking in an estimated $747M loss. Ouch.
