Republic raises $100M for ETH purchases under unusual zero-interest deal

Republic Technologies secured a zero-interest convertible loan to expand its Ether holdings, a structure that could limit shareholder dilution.
Republic Technologies just pulled off a massive $100M financing move — but here's the kicker: it's a ZERO-INTEREST convertible note facility. Yeah, you read that right. Zero percent. No interest payments, no collateral requirements if ETH tanks. This is basically free money to stack more ETH and scale their validator operations without bleeding cash on debt servicing.
The company (formerly Beyond Medical Technologies before going full crypto infrastructure) is using this cash to aggressively grow their ETH treasury while minimizing shareholder dilution. Unlike other crypto companies that get absolutely wrecked by dilution, Republic's deal only includes 50% warrant coverage at market rates — compare that to BitMine Immersion's recent $365M raise with 200% warrant coverage that would absolutely nuke existing shareholders if exercised.
Republic is riding the wave of public companies building massive ETH treasuries — basically the Ethereum version of Michael Saylor's Bitcoin accumulation play. According to CoinGecko data, 18 public companies collectively hold about 5.45M ETH worth roughly $17.3B. That's serious institutional adoption energy.
BitMine Immersion (BMNR) just announced they've increased their ETH holdings to control 2.9% of the entire ETH supply and are aiming for 5%. Their chairman Tom Lee dropped the mic saying he doesn't 'believe crypto prices have peaked for this cycle' and that major catalysts like favorable regulation and tokenization growth will keep driving the industry forward.
Meanwhile, ETH price action has been wild — currently sitting around $3,100 after crashing hard from its May ATH of nearly $4,900. But these companies are clearly playing the long game, soaking up supply while prices are down from peak levels.
